Section 172 Statement
Last updated: October 2026
Section 172 of the Companies Act 2006 sets out the duty of the directors of a UK company to promote the success of that company. SUI Securities Ltd publishes this statement to explain how SUI Securities applies that duty in practice.
Under Section 172, the directors of SUI Securities must act in the way they consider, in good faith, would be most likely to promote the success of the company for the benefit of its members as a whole, and in doing so must have regard to:
- the likely consequences of any decision in the long term;
- the interests of the company’s employees;
- the need to foster the company’s business relationships;
- the impact of the company’s operations on the community and the environment;
- the desirability of the company maintaining a reputation for high standards of business conduct; and
- the need to act fairly between members of the company.
The sections below describe how SUI Securities has regard to each of these matters in the day-to-day running of the firm.
Our decisions
In taking decisions, SUI Securities considers the long-term consequences of those choices for the firm, for its clients and for its counterparties. SUI Securities reviews its strategy regularly and declines business or products that would offer quick gain at the cost of lasting quality.
Our clients
SUI Securities treats the interests of its clients as central to its success. SUI Securities provides clear, plain-English information, manages client money under FCA rules, and measures success by the outcomes clients experience, not only by revenue.
Our people
SUI Securities supports the professional development, fair treatment and wellbeing of its employees. SUI Securities encourages a culture in which concerns can be raised openly and in which competent, honest advice is rewarded.
Our business relationships
SUI Securities seeks fair dealing with suppliers, custodians and professional advisers. SUI Securities pays suppliers on agreed terms and selects partners on quality and reliability rather than price alone.
The community and the environment
SUI Securities considers the impact of its operations on the community and the environment, including the sustainability risks described in its investment policy, and supports work that broadens financial understanding.
High standards of business conduct
SUI Securities commits to honest dealing in every part of its business, to full compliance with regulation, and to acting as a responsible member of the financial services industry in London and beyond.
